These Terms and Conditions ("Terms") govern the relationship between Deepframez / Deepak M P and the Client ("you") for the provision of motion graphics, animation, and video production services.

1. Scope of Work

• Deepframez will provide services as outlined in the specific Project Proposal or Quote sent to the Client.

• Any additional features, versions, or changes requested outside the original scope will be treated as "Add-ons" and billed separately.

2. Payment Terms

• Standard Milestone Model: Unless otherwise agreed in writing, a 50% non-refundable advance is required to commence work. 30% is due upon Storyboard approval, and the final 20% is due before the delivery of final unwatermarked files.

• Delayed Payments: Payments delayed beyond 15 days from the invoice date may incur a late fee of 2% per month.

​

• Taxes: Prices quoted are exclusive of GST unless otherwise stated.

3. Revisions and Feedback

• Included Revisions: Each project includes two (2) rounds of minor revisions at each stage (Script, Storyboard, and Animation).

​

• Structural Changes: Changes to the script or voiceover after animation has begun will incur additional charges, as these require significant re-work of the motion timing.

​

• Approval: If no feedback is received within 7 working days of a deliverable, it will be deemed approved, and the project will move to the next phase.

4. Intellectual Property (IP) Rights

• Ownership: Upon receipt of full and final payment, the Client owns the usage rights to the final exported video file.

​

• Source Files: Project source files (After Effects, Premere Pro, Cinema 4D, Blender, Photoshop, Illustrator files, etc.) remain the property of Deepframez. Transfer of source files is subject to an additional "Buy-out Fee" (typically 25% of the project cost).

• Portfolio Rights: Deepframez retains the right to display the completed work, process clips, and stills on www.deepframez.com and social media for promotional purposes, unless a formal Non-Disclosure Agreement (NDA) is signed.

5. Client Responsibilities

• The Client is responsible for providing all necessary brand assets (logos, fonts, brand guides) in high-resolution(.PSD, .TIFF) or vector formats (.AI, .EPS, .SVG).

• The Client warrants that they own the rights to any materials provided to Deepframez for use in the project.

​

6. Cancellation and Termination

• Client Cancellation: If the Client cancels the project after work has started, the 50% advance is forfeited. If the project is more than 50% complete, the Client is liable to pay for the work completed up to that date.

• Service Provider Cancellation: In the unlikely event that Deepframez must cancel a project due to unforeseen circumstances, a full refund of the advance will be provided.

7. Limitation of Liability

Deepframez shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the final video. Our total liability is limited to the total amount paid by the Client for the specific project.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Bangalore.
